Full Job Description
Exciting new opportunity for a Company Secretarial Assistant to join our Company Secretariat Department providing company secretarial and compliance support to the secretariat function which has primary responsibility for property management entities to over thirty management companies for various clients., Assisting in the administration of UK Company's including maintenance of UK Company Statutory Books and Registers and taking appropriate steps to secure compliance with Companies House filing regulations to include the preparation and filing of annual accounts and compliance statements and other appropriate company forms at Companies House within the time limits imposed. You'll be obtaining necessary Shareholder and Director Approvals and advising on specific approvals required, organising meetings including preparation of any agendas, resolutions and minutes. Appointment and resignation of directors and obtaining the necessary approvals required under the Articles of Association. Assisting with the maintenance of company share registers ensuring the allocation, transfer and registration of shares take place when triggered under the Articles of Association. You will be preparing and overseeing the execution of legal documents, advising on company signatories, ensuring copy documents and necessary approvals are filed as necessary.
- Updating and management of the Company Secretarial software.
- Drafting of routine client reports in accordance with agreed timescales.
- Dealing with routine enquiries from tenants, suppliers, directors, shareholders and legal representatives. Responding to enquiries from Directors and Shareholders and maintaining necessary contact information, being a main point of contact for all company related enquiries.
- Advising directors on their duties and ensuring that they comply with corporate legislation and the articles of association of the company.
- Filing and retention of documents.
- Generally ensuring the efficient running of the Secretariat department.
- Other ad hoc duties as required or directed by the Partner or Assistant Company Secretary. Financial: Assisting the appropriate finance and audit teams with the preparation of the annual accounts and service charge budgets are prepared by the property management and accounting teams withing the required timeframes, arranging board approval and necessary statutory filings and raising invoices as required. Other duties will include:
- Drafting of routine legal documents and arranging signature.
- Overseeing changes in property ownership on the estates, liaising with solicitors and agreeing legal documentation, arranging execution of documentation, carrying out anti-money laundering checks.
- Working closely with Property and Park colleagues and ensuring that the Management Company and Owners comply with their obligations under the Services Agreements and that Owners seek Management Company approvals where required.
- Liaising with and assisting the Company Auditors, Joint Venture partners and other associated parties.
Someone that can demonstrate strong organisational skills and administration skills. Work with a high degree of accuracy as well as an excellent attention to detail. You will have the ability to work on your own initiative and be able to demonstrate excellent interpersonal skills as well as strong communication skills - written and verbal. Desirable - - Experience in a similar role with either company secretarial or commercial property experience or a qualified or part qualified company secretary.
