About the team PwC's Debt & Capital Advisory team provides capital structure advisory services in a wide range of situations. We help clients with raising new debt finance to deliver M&A or other transactions, fund their growth initiatives, advising them on the renegotiation of existing debt facilities, or raising "rescue financing" in stressed situations. We work with management or family owned businesses, private equity houses, listed businesses and charities / not-for-profit institutions.

The Debt & Capital Advisory team comprises over 25 people across the UK, with 10 people focussed on our serving clients in the Midlands and North regions. We are growing significantly as a practice, delivering 12+ deals from the Midlands in the past two years. We are now looking to recruit a Manager to join our team, based in Birmingham, as we continue to grow our business.
The team can offer the successful candidate experience across a wide variety of projects with significant opportunities for self-development. This is an excellent opportunity to work within a dynamic and fast growing team, which is a key strategic focus within Deals and across the wider regional business. We work closely across our wider Deals business and the rest of PwC, with many of our client assignments being delivered alongside colleagues from Corporate Finance, Transaction Services and Tax.

Our work for clients typically involves:

  • Evaluating business plans for robustness and potential sensitivities
  • Assessing capital structure / funding options
  • Financial modelling and debt capacity analysis
  • Assessing the appropriateness of financing products and providers
  • Preparing discussion materials for prospective clients
  • Managing ongoing relationships with lenders / investors
  • Organising and managing transaction processes
  • Preparing management presentations and information memoranda
  • Assessing financing offers and negotiating proposed financing terms
  • Commercial negotiation of banking documentation
About the role Some of your responsibilities will include, but are not limited to, the following:
  • Conducting or reviewing detailed financial modelling to test alternative capital structures and financing options.
  • Managing the review of business plans and management assumptions, including managing team members who report to you
  • Leading the financial and commercial analysis of financing offers and proposed transactions
  • Preparing management presentations and information memoranda, working closely with management teams and business owners
  • Utilising your experience to drive business development initiatives, including identifying opportunities, preparing materials and attending pitches with potential new clients
  • Project managing the transaction process, becoming PwC's main point of contact with the client, prospective lenders, legal advisors and other stakeholders
Essential skills and experience We are looking for individuals who in all cases have a strong academic track record. A professional qualification is welcome but not essential.
Applicants should be able to demonstrate many of the following personal attributes:
  • Experience working with (or ideally for) a lender, including an ability to understand and explain credit processes in detail
  • A detailed knowledge of leveraged / cashflow lending and a strong understanding of other banking products such as asset-based lending
  • Detailed understanding of banking documentation and legal structuring of debt finance and corporate finance transactions
  • Client facing experience, with the ability to influence and work alongside senior management teams, including owner managed and private equity backed companies
  • Experience of financial modelling of debt structures, or the interest and aptitude to learn this core skill quickly
  • Excellent relationships in the Midlands corporate finance market, with particular focus on local lenders and Private Equity sponsors
  • Commercial curiosity and demonstrable interest in corporate finance.
  • Excellent interpersonal skills and confidence when interacting with others, coupled with the ability to deliver and to work effectively in teams.
  • Good commercial judgement, strong analytical skills, an ability to think laterally and creatively to solve problems; with a focus on attention to detail.
  • Ability to grasp complex commercial issues quickly, and to work accurately under time pressure and manage multiple commitments.
  • Willingness to take ownership for and to drive marketing and business development activity
