RSM Corporate Finance is currently seeking dynamic and motivated Manager to work in Special Situations M&A. RSM's Special Situations Group is a partner-led team that integrates expertise in mergers and acquisitions (M&A) and restructuring to deliver tailored solutions for businesses navigating significant change or financial distress. Supporting both sell-side and buy-side stakeholders, the team works with corporates, lenders, and other financial stakeholders across the UK and globally, providing dynamic transaction support to achieve optimal outcomes. You'll make an impact by: Assisting in preparing high-quality marketing materials, including IMs and teasers, to support Special Situation

Experience negotiating SPAs, working-capital mechanisms, and key commercial terms,
with confidence engaging directly with clients, counterparties, and advisors. Background in Transactions, M&A, Financial Due Diligence, or Restructuring at Manager level (or equivalent), with hands-on deal exposure. Strong analytical capability, able to review financial and operational data for completeness, accuracy, and commercial relevance. Robust financial analysis skills, including understanding of financial statements, KPIs, normalised earnings, and working-capital trends. Excellent written and verbal communication, with the ability to produce clear, concise reports and present findings to senior stakeholders. Commercially minded problem-solver, able to identify key value drivers, risks, and opportunities within a transaction.
