Full Job Description

We are recognised for combining technical public markets expertise with practical, boardroom-focused delivery, supporting clients across the listed company lifecycle, including:

  • Listed company advisory: day-to-day and event-driven advice on ongoing disclosure, market conduct and regulatory compliance, including matters engaging the UK Listing Rules, AIM Rules, Takeover Code, Market Abuse Regulation, Disclosure Guidance and Transparency Rules, and relevant governance codes.
  • Equity capital markets: IPOs and a wide range of secondary fundraisings (including placings, open offers and rights issues), alongside the associated disclosure, governance and process requirements.
  • Public M&A and Takeover Code matters: advising on the execution of UK and international public takeovers (including schemes of arrangement and contractual offers), as well as transaction preparedness and stakeholder dynamics.
  • Governance, disclosure and shareholder engagement: supporting boards on AGM processes, shareholder communications, ESG disclosures and boardroom risk management, with a focus on robust process and audit-ready decision making.
  • The culture is collaborative, with associates given meaningful responsibility, direct client exposure and the opportunity to develop and progress., We are seeking an Associate (c.4-6 years of PQE). You will have experience in some or all of the following:
  • Listed company advisory: advising on ongoing compliance and governance matters for Main Market and AIM issuers, including disclosure considerations and the practical application of relevant rules and regimes (as they apply to a given client and transaction).
  • Equity capital markets (IPO and secondary fundraisings): advising on IPO/admission processes and secondary issues, including placings, open offers and rights issues.
  • Public M&A / Takeover Code: supporting on UK and cross border public takeovers (schemes and offers), including drafting and reviewing key documents and announcements, and managing transaction timetables and deliverables.

    We handle a broad range of public company transactions, including equity capital markets, public M&A and other PLC regulatory matters, with strength in navigating complex Main Market and AIM transactions and supporting both domestic and international clients. We have recently represented clients on equity capital markets and public M&A transactions in the retail & consumer, technology, mining, oil and gas, biotech and telecoms sectors.

    England & Wales qualified (or equivalent) with c.4-6 PQE years in public company transactions, public M&A and/or equity capital markets, ideally with exposure to Main Market and/or AIM work.
  • Delivers legal and commercial solutions and establishes collaborative working relationships with clients and colleagues to provide an outstanding client experience.
  • Supports the team to manage the client experience, develops trusted relationships and interacts with clients confidently to achieve the best outcome for the client.
  • Committed to business development to further grow their network and the practice.
  • Works efficiently and commercially and understands the importance of financial hygiene.
  • Collaborative and works effectively in a team.
  • Understands how to develop junior team members and support their ambitions.
