An exciting opportunity has arisen for a Company Secretarial Assistant to join our Legal Affairs Team. This role supports the Company Secretary in delivering a comprehensive governance and company secretarial service to Ford Credit and Ford of Britain. There will also be opportunities to provide support across the wider Legal Affairs Team. This is an excellent opportunity for someone looking to develop their company secretarial career within a global organisation. The role offers broad exposure across the Group, including supporting a portfolio of Boards, working with overseas entities, and engaging with senior stakeholders.
The minimum requirements we seek:Previous company secretarial or governance experience, preferably within a regulated environmentWorking towards the CGI qualification (preferred)Exceptional organisational skills with the ability to manage competing priorities and meet deadlinesExcellent written and verbal communication skills, with the confidence to build effective relationships with senior stakeholders across the businessHigh levels of accuracy, sound judgement and strong problem-solving abilityAble to work independently while collaborating effectively with colleaguesA high degree of personal and professional integrity; ability to maintain confidentiality with a high degree of discretionProficient in Microsoft Office; experience with Board Vantage and / or GEMS or similar company secretarial software would be beneficialAdditional Information:This is a UK position and applications will only be accepted from current UK permanent employees (FoB and FCE employees only).The Company is

What you†ll be doing:Supporting the Company Secretary in delivering a comprehensive, high-quality company secretarial service to Ford Credit Europe (FCE) and Ford of Britain group companiesAssisting with statutory compliance work ensuring that all relevant documents are filed at Companies House in accordance with statutory deadlines and corporate records are maintained and up to dateSupporting with non-UK entity management and filingsTo assist in the maintenance of the global entity management system (GEMS) to ensure details for UK Group companies are kept up to date, and to support production of the Group and FCE structure chartsArranging for the preparation and execution of corporate documentation resolutions, powers of attorney and proxies for routine business and organising, if required, for such documents to be notarised and/or apostilledAssistance with ad hoc projects, corporate transactions and other duties, as requiredResearching regulatory and legislative
changes, and updating the Company Secretary on continuing obligations and statutory requirementsEmbracing technological developments, including AI, to ease administrative processes Board and Committee administration:To assist with administration and support for the governance meeting cycle, including:Managing and coordinating the corporate meeting calendars;Coordinating meeting logistics, including venue or hybrid/virtual set-up, joining instructions, and guest, observer and attendance tracking; andDrafting, timely preparation and distribution, of agendas, matters arising schedules, Board paper reminders and Board and Committee meeting packs, attending and minuting meetings.Helping on all other Board/entity related matters. This includes but is not limited to:Assisting with the appointment, induction process and on-going training for directors;Assisting with co-ordinating the year end process for subsidiary entities which includes the preparation and approval of year end accounts,
conflicts of interest reviews and verification of Annual Report content; andArranging for the approval of contracts, drafting associated resolutions and maintaining records for subsidiary Boards. GovernanceAssisting with governance projects to continually improve the governance standards across the Group companies e.g. constitutional document updates, legal entity rationalisation projects, reviews of subsidiary governance frameworksEnsure all relevant Board governance procedures are adhered toKeeping governance documents up to dateSupporting the development and maintenance of governance policies, processes and procedures.
