Why is this role important and how does it fit into the team, department and wider firm?

Our Tax team is recognised in Chambers and Legal 500, and from 1 May 2024 will comprise of one Partner, one Legal Director, three Senior Associates and a Future Lawyer. The Tax team is based in our Birmingham and Nottingham offices, although the team works with and provides support to other teams in all of our offices across the country, including our Dublin office (although not, of course, advising on Irish law). The Tax team acts for a broad range of clients across the private, public and third sectors, with clients ranging from individuals to multi-national corporates and large public sector bodies

What does the role actually involve?

  • Corporate tax, including tax legal support on share and asset sales and purchases, and corporate reorganisations/reconstructions

  • Employee share schemes, and employment tax, including due diligence, legal drafting and technical advice

  • Vendor tax advice, including capital gains tax and transactions in securities advice and associated clearances

  • Providing support and advice on various other tax issues as they arise, including in relation to banking tax, VAT and stamp duty among others

  • Providing advice on time and to a high standard of technical competence

  • Running with your own files, but with support from senior team members as required

  • Assisting the more senior members of the team with more complex transactions and advice

  • Achieving budgeted hours and fees

  • Supporting the firm's core principles and values to deliver exceptional client service

  • Assisting with supervision

  • Undertaking any other duties as required, commensurate with the level of the post

    What technical skills are required for someone to be successful and enjoy the role?

  • Excellent legal drafting and research/analysis skills: able to provide clear, concise, and commercially relevant solutions, explaining/advising succinctly on difficult and complex areas

  • Keeping up to date with legal issues and developments (both HMRC guidance and legislation)

  • Experience of drafting and negotiating tax covenants and warranties on share sales and purchases, and of dealing with stamp duty on share purchases

  • Experience of providing legal tax support on corporate reorganisations/restructures, and of dealing with associated stamp duty advice and relief applications

  • Experience of drafting and advising on employee share schemes (including EMI)

  • Knowledge of general principles of VAT

  • Knowledge and experience of advising on SDLT on freehold and leasehold transactions, VAT in relation to property transactions, CGT and corporation tax preferred, but training and support will be provided as required

  • Good IT and keyboard skills and at ease with electronic time recording and case management systems
